1. Scope of these Terms

These Terms and Conditions govern access to the Website and the purchase of freelance creative, digital, and multimedia services offered by MANOJ DaTz. By using the Website, requesting a quotation, approving a proposal, making a payment, or engaging MANOJ DaTz for any project, the client agrees to these Terms and Conditions.

3. Services

Services may include, without limitation, web design and development, SEO and SEM support, social media marketing, video editing, audio editing, motion graphics, 2D or 3D animation, logo design, digital marketing support, branded content production, and related freelance creative services. All services are provided subject to project scope, feasibility, availability, and written commercial agreement.

4. Quotations, Proposals, and Scope

Any quotation or proposal is based on the information provided by the client at the time of request. A project is deemed confirmed only after written approval and receipt of the required advance payment. Any additional requirement, amendment, or request outside the agreed scope may be treated as a scope change and may be quoted and billed separately.

5. Pricing and Payment Terms

Fees are quoted in the currency stated in the quotation, proposal, invoice, or checkout page. Unless otherwise agreed in writing, work will commence only after the advance payment is received, and final deliverables, editable files, administrative handovers, or publishing credentials may be withheld until outstanding balances are fully settled. The client is responsible for ensuring payment details and billing information are accurate.

6. Revisions and Approval Process

Revision rounds, if any, are limited to the number expressly stated in the approved quotation or proposal. Revision requests that materially alter the original brief, require redevelopment, or are submitted after approval of a milestone may attract additional fees. Silence after delivery of a milestone or draft shall not be interpreted as approval unless expressly stated in writing.

7. Client Responsibilities

The client shall provide accurate instructions, content, branding assets, access credentials, approvals, and feedback necessary to perform the services. The client remains responsible for the legality, ownership, and accuracy of all materials supplied to MANOJ DaTz. Delays caused by incomplete information, delayed feedback, unavailable personnel, or third-party dependencies may extend project timelines.

8. Delivery and Acceptance

Delivery may take the form of concept files, visual previews, exported media, live URLs, source files, marketing assets, design files, reports, or other agreed outputs. Estimated timelines are planning targets only unless expressly stated as guaranteed in writing. The client must review deliverables promptly and raise any material issue within a reasonable period after delivery.

9. Intellectual Property

Unless otherwise agreed in writing, all concepts, drafts, working files, unpublished creative, and development materials remain the property of MANOJ DaTz until full payment is received. Ownership of the final approved deliverable transfers only upon full settlement of the agreed project fees and only to the extent expressly granted. Third-party fonts, stock assets, plugins, music, templates, platform licences, or other licensed materials remain subject to their original licence terms.

10. Portfolio Rights

Unless the parties agree otherwise in writing, MANOJ DaTz may display non-confidential completed work, project summaries, and publicly released deliverables in portfolios, proposals, social media, or other promotional materials for the purpose of showcasing professional work.

11. Cancellations and Refunds

The client may request cancellation in writing. If work has commenced, MANOJ DaTz may retain payments already received and may invoice for work performed up to the cancellation date. All payments are non-refundable once paid, except in cases of duplicate payment, administrative error, or where required by applicable law. Refunds, where applicable, are governed by the separate Refund Policy published on the Website.

12. Third-Party Services and Platforms

Certain projects may depend on third-party services, including hosting companies, payment providers, ad platforms, social networks, registrars, plugin vendors, stock libraries, software vendors, or cloud tools. MANOJ DaTz is not responsible for pricing changes, policy changes, outages, suspensions, data loss, service interruptions, or functional limitations caused by third-party platforms.

13. Payment Security

The Website is intended to operate over secure encrypted web connections. Online payments, where enabled, are expected to be processed through authorised banking channels or third-party payment gateway infrastructure. MANOJ DaTz does not intentionally store full payment card numbers, CVV or CVC values, or PIN data on the Website.

14. Limitation of Liability

To the maximum extent permitted by law, MANOJ DaTz shall not be liable for indirect, incidental, special, consequential, or purely economic loss, including loss of profits, loss of business opportunity, reputational loss, or interruption arising out of the use of the Website or the services. The client remains responsible for reviewing and approving final outputs before publication, printing, launch, or distribution.

15. Confidentiality

Commercially sensitive or non-public project information disclosed by one party to the other in connection with a project shall be treated as confidential and used only for the purpose of performing the relevant services, except where disclosure is required by law or is already lawfully in the public domain.

16. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by the laws of Sri Lanka. Any dispute arising in connection with the Website or the services shall be subject to the competent courts of Sri Lanka, unless another forum is required by applicable law.
